Welcome to ThreatClarity™ by M-TECH Business Solutions Inc. ("M-TECH", "we", "us", or "our"). These Terms of Service ("Terms") govern your use of our vulnerability assessment platform and related services (the "Service"). By accessing, using, or registering for the Service, you ("you", "Customer", or "Client") agree to be bound by these Terms and our Privacy Policy.
Please read them carefully before using the Service. If you do not agree with these Terms, you must not use the Service.
1. Eligibility and Acceptance
You affirm that:
- You are at least 18 years of age or the age of majority in your jurisdiction.
- You are authorized to enter into these Terms on behalf of yourself or the entity you represent.
- You will comply with all applicable local, provincial, state, federal, and international laws when using the Service, including those related to cybersecurity, data protection, and export control.
2. Authorized Use and Consent to Scan
You agree to:
- Use the Service only on systems you own or for which you have explicit written authorization to perform security assessments.
- Upload, provide, or designate only legally authorized domains, IP addresses, systems, or applications for scanning.
- Retain all necessary records or consents that demonstrate ownership or authorization, which M-TECH may request at any time.
Prohibited Use: Unauthorized scanning of third-party systems is strictly forbidden and may result in immediate termination of your account and legal action.
3. Compliance with Local Laws
As a condition of use, you agree to comply with all applicable laws and regulations, including but not limited to:
- Canada: Personal Information Protection and Electronic Documents Act (PIPEDA)
- United States: California Consumer Privacy Act (CCPA), Computer Fraud and Abuse Act (CFAA), CAN-SPAM Act
- European Union: General Data Protection Regulation (GDPR)
- UK: UK Data Protection Act 2018
- Any other regional, provincial, or federal law governing data security, electronic communications, or penetration testing.
You are solely responsible for understanding and adhering to the laws of your jurisdiction. M-TECH disclaims all liability for any unlawful use of the Service.
4. Service Description
ThreatClarity™ provides comprehensive cybersecurity services including:
- Vulnerability assessments and penetration testing
- Network security analysis and reporting
- Compliance framework mapping (NIST, PCI DSS)
- Threat intelligence and risk assessment
- Asset discovery and management
- Brand protection monitoring
5. User Accounts and Security
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized use of your account
- We recommend enabling multi-factor authentication for enhanced security
- Only organizational email addresses are permitted for account registration
6. Payment and Billing
- Payment is required before scan initiation unless using a valid voucher code
- All fees are non-refundable except as required by applicable law
- Subscription plans automatically renew unless cancelled
- Price changes will be communicated with 30 days advance notice
7. Intellectual Property
All software, code, reports, and documentation provided by M-TECH remain the exclusive intellectual property of M-TECH Business Solutions Inc.
You may not reproduce, distribute, modify, reverse engineer, or sell any portion of the Service without prior written consent.
8. Data Handling and Security
- We implement industry-standard security measures to protect your data
- Scan data is retained for the duration specified in your service agreement
- We do not access your systems beyond the scope of authorized testing
- All findings are confidential and shared only with authorized account users
9. Limitation of Liability
M-TECH is not liable for:
- Any indirect, incidental, consequential, or punitive damages
- Lost profits, data loss, or service interruption
- Vulnerabilities not discovered during scanning
- Unauthorized access due to client misconfiguration or negligence
- System downtime or disruption caused by authorized testing
Our total liability is limited to the fees you paid in the last 12 months.
10. Indemnification
You agree to indemnify, defend, and hold harmless M-TECH and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, losses, or expenses (including legal fees) arising from:
- Unauthorized use of the Service
- Violation of these Terms or applicable laws
- Scanning without proper authorization
- Any misrepresentation regarding your authority to authorize testing
11. Service Availability
- We strive for 99.9% uptime but do not guarantee uninterrupted service
- Scheduled maintenance will be announced in advance when possible
- We reserve the right to suspend service for security or maintenance reasons
12. Termination
We may suspend or terminate access to the Service at any time for:
- Violation of these Terms
- Suspected misuse or unauthorized activity
- Failure to comply with applicable laws
- Non-payment of fees
13. Governing Law and Jurisdiction
This Agreement will be governed by:
- Canada (PIPEDA) for Canadian clients
- Delaware, USA (and applicable federal laws) for U.S. clients
- GDPR and EU law for clients operating within the European Union
Any disputes will be resolved in the appropriate courts of Ontario, Canada, or as mutually agreed under binding arbitration.
14. Changes to Terms
We may update these Terms from time to time. Changes will be posted on our website with the "Effective Date" updated accordingly. Continued use of the Service indicates acceptance of the modified Terms.
